Daniel Abram

Daniel is a member of the derivatives and energy practice groups at Schwell Wimpfheimer & Associates.

He negotiates sophisticated agreements for a Fortune 100 energy company, including: commodities derivatives; currency exchange swap agreements; agreements for the purchase and sale of energy commodities, including oil, natural gas, and electricity; and guarantees and letters of credit securing the aforementioned transactions.  Daniel negotiates agreements with domestic and international counterparties, being familiar with both U.S. and European documentation.

Prior to joining SWA, Daniel was an associate in the Investment Banking group at Goldman Sachs where he provided strategic advisory services for M&A, LBOs, divestitures, restructurings, and exclusive asset sales.  He also spent 4 years as a corporate associate at Weil, Gotshal & Manges in New York.

Representative Matters

  • Negotiating, drafting and executing securities offerings across diverse industries.
  • Representing the world’s largest equipment rental company in several Rule 144A/Regulation S debt offerings totaling $1.9 billion relating to a multi-step refinancing.
  • Representing underwriters in the IPO of an Israeli-based global IT solutions provider.
  • Negotiating, drafting and executing complex acquisitions, dispositions, financings and leasing transactions.
  • Representing public companies with respect to periodic filings under the Securities Exchange Act of 1934.
